These terms are an agreement between you and Sunny Systems LLC (“GateVentory”, “we”), which makes GateVentory. They are for a business that opens a store here, and for the people on its team. By opening a store, or by running one, you agree to them.
If you shop at a store, the Shopper Terms are the ones for you.
1. What GateVentory is, and whose store it is
GateVentory is software a business uses to run its own online store. A business that opens a store here is a “seller”. A person who registers at a seller’s store, or buys from it, is a “shopper”.
Each store belongs to the seller that runs it. The seller, not GateVentory, sells the products in its store. The seller chooses its products and prices, decides who may shop and at what price, takes the payment into its own account, and is responsible for filling, shipping, cancelling and refunding every order.
GateVentory is not a party to any sale between a seller and a shopper. We are not the seller, the merchant of record, a marketplace, or anyone’s agent in a sale.
2. Your account
You sign in with your email address and a code we send to it. Keep that mailbox secure: whoever can read it can sign in as you. Give us information that is true and keep it up to date.
You must be at least 18. If you open a store for a business, you confirm that you may agree to these terms for that business, and “you” means that business.
A seller’s owner can add admins and managers to its team and decides what each may do. The seller is responsible for everything its people do in its store.
A store and its account belong to the business that opened it. If people disagree about who that is, we may ask for proof and decide.
Your store’s web address is made from your business’s name or website. We may change it, or take it back, if it uses a name or brand that belongs to someone else.
3. Sellers: what you put in your store
Your products, prices, pictures, logos, price sheets and other content are yours. You confirm that you have the right to use them, including your vendors’ permission to sell their products and to use their pictures, names and logos.
You give us permission to store, copy, resize and show your content as needed to run your store and GateVentory.
You will not use GateVentory to sell anything unlawful or anything Stripe or PayPal does not allow, to mislead shoppers, to send messages people did not ask for, to break into or overload the service, or to infringe anyone’s rights.
What you may sell, and the licenses, approvals and checks some products need, are on What you may sell, which is part of these terms.
Some features use automated tools, including artificial intelligence, to read a price sheet or to enhance a product picture. They can be wrong. You check what they produce before your shoppers see it.
If you send us ideas or feedback about GateVentory, we may use them freely.
4. Sellers: your shoppers and their information
You decide what your registration forms ask, who is accepted, and who sees which prices. You are responsible for those decisions and for using your shoppers’ information lawfully and only for running your store.
Before a shopper buys, you tell them what they need to know: how to reach you, your policy on returns and refunds, and how long an order takes to ship. Where your vendor ships your orders, you tell your shoppers so.
You keep each order up to date: you mark it shipped when it leaves, and delivered or picked up once it reaches your shopper.
We handle your shoppers’ information for you, as our Privacy Policy describes. Where you tell us to email an order to a vendor, we send that vendor what it needs to ship it. You tell your shoppers how you use their information wherever the law requires it, and you send them no marketing they did not agree to.
The people who shop at your store agree to our Shopper Terms, which tell them that they buy from you and not from us.
5. Sellers: plans and fees
Today there is one plan, All-in, at $59 a month.
Your plan starts, and its first month is charged, when you give your card to open your store. It is then charged each month in advance until you end it. You can cancel it at any time in Settings: it runs to the end of the month you paid for, and your store then closes to shoppers. Fees already paid are not refunded, except where the law requires it.
If a payment for your plan fails, we email you. Your store stays open for 28 days while the payment is retried. If it is still unpaid after that, your store is closed to shoppers until it is paid. Nothing of yours is deleted because a payment failed.
Order fee. For each order placed in your store we take 1% of the price of the products in it, before shipping, tax and your own fees, and never more than $1.50 for an order, unless we have agreed a different fee with you. It is taken from the payment, and it is not returned when an order is refunded or cancelled.
Stripe charges its own processing fees to you, and so does PayPal for a payment made with PayPal or Venmo. Those are theirs, not ours.
You authorize us, through Stripe, to charge your card for your plan, and, through Stripe or PayPal, to take the order fee from each payment. If you think a charge of ours is wrong, tell us within 60 days of it.
We may change our plans and fees. We will email you at least 30 days before a change that raises what you pay.
6. Sellers: payments through Stripe
Payment processing services for sellers on GateVentory are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a seller on GateVentory, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of GateVentory enabling payment processing services through Stripe, you agree to provide GateVentory accurate and complete information about you and your business, and you authorize GateVentory to share it and transaction information related to your use of the payment processing services provided by Stripe.
Your shoppers pay into your own Stripe account. Stripe pays out to your bank. GateVentory never holds your money, and never sees or stores a card number, a bank account or an identity document.
Refunds, disputes and chargebacks on your orders are yours to handle and to pay. We are not required to settle a disagreement between you and a shopper or a vendor. Stripe decides whether your business may take payments; if Stripe does not approve or later stops serving your business, your store cannot take orders.
7. Sellers: payments through PayPal
If you connect a PayPal account, your shoppers can also pay with PayPal or Venmo. Those payments are processed by PayPal under the agreement between you and PayPal, the PayPal User Agreement, and are paid into your own PayPal account. You authorize GateVentory to share information about you, your business and your transactions with PayPal as needed for it to process those payments.
Refunds, disputes and chargebacks on payments made with PayPal or Venmo are yours to handle and to pay, in your PayPal account. PayPal decides whether your account may take payments; if it does not, or later stops, your shoppers are not offered PayPal or Venmo.
8. Sellers: taxes are yours
You are the seller of everything sold in your store, and you alone are responsible for your taxes. That includes:
- deciding whether, where and how much sales tax, use tax or any other tax applies to what you sell, to your shipping and to your own fees;
- registering with every tax authority you must register with;
- collecting tax from your shoppers;
- deciding which of your shoppers are exempt, and getting and keeping their exemption certificates;
- filing your returns and paying what you owe.
GateVentory offers tools that can help: tax worked out by Stripe Tax on your own Stripe account, a report of the tax on your orders, and a way to mark a shopper as exempt. They work from settings and information you provide, and Stripe charges you for Stripe Tax.
These tools are not tax, legal or accounting advice. We do not promise that they are complete or right for your business, we do not check your settings or any certificate, and we do not file returns or pay taxes for you. Ask a tax adviser.
GateVentory is not a marketplace facilitator and does not collect, report or pay tax on your sales. If a tax authority nonetheless requires us to collect, report or pay any tax, penalty or interest on your sales, you will repay us what we had to pay and our reasonable costs.
Our own fees do not include tax. Where the law requires us to charge tax on them, we add it.
9. Complaints about a store
If you believe something in a store, or a store’s web address, infringes your copyright, trademark or another right of yours, email hello@gateventory.com with:
- what is yours, and where it appears in the store or its web address;
- your name, address, phone number and email;
- a statement that you believe in good faith it is used without permission;
- a statement that your notice is accurate and that you are the owner of the right, or may act for the owner;
- your signature, which can be typed.
We may take down what is complained of, or change the store’s web address, and tell the seller, who can answer the complaint. We close the stores of sellers who infringe repeatedly.
10. Google Maps
Where a form offers matches for an address as you type, GateVentory includes Google Maps features and content. Use of Google Maps features and content is subject to the then-current versions of the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
11. The service
We work to keep GateVentory running and safe, and we change and improve it over time. We may add, change or remove features. We do not promise that it will always be available or free of errors.
We may suspend or close a store or an account that breaks these terms, puts shoppers, other sellers or GateVentory at risk, or that Stripe will not serve. Where we reasonably can, we tell you first, say what is wrong, and give you the chance to put it right. We may take one product out of a store instead of closing the store.
GateVentory, its name, logo and software are ours. These terms give you the right to use them to run or shop at a store, and nothing more.
12. Ending
You may stop using GateVentory at any time. You can cancel your plan in Settings, and it runs to the end of the month you paid for. If your store has never opened, you can delete your account in Settings, and it is deleted at once. If your store has been open, you can close it in Settings once no payment is disputed. Every order not yet marked delivered or picked up is refunded to its shopper in full when you close, from your Stripe or PayPal balance. Your store then goes offline right away, your plan stops that day without a refund for the rest of the month, and you can reopen it for 30 days.
After a store closes, its products, pictures, gates, shopper lists and documents are deleted after 30 days. We keep its records of orders and payments for 7 years, to meet our legal duties and settle disputes, and take shoppers' names, emails, phone numbers and addresses off them after 18 months. The parts of these terms that are meant to outlast an ending, such as fees owed, taxes, disclaimers and limits, still apply.
13. Disclaimers
GateVentory is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We are not responsible for a seller’s products, prices, shipping, taxes or conduct, for a shopper’s conduct, or for services provided by others, such as Stripe and Google.
14. Limits on what we owe
To the fullest extent the law allows, GateVentory is not liable for lost profits, lost sales, lost data, or any indirect, incidental, special, consequential or punitive damages.
Our total liability for everything connected with GateVentory is limited to the greater of the fees you paid us in the 12 months before the claim arose and $100.
15. What a seller covers
If you are a seller, you will defend and repay us for claims, losses and costs, including reasonable legal fees, that arise from your store, your products, your content, your taxes, your dealings with your shoppers and vendors, or your breaking these terms or the law.
16. Law and disputes
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Miami-Dade County, Florida, and you and we agree to those courts.
17. Changes to these terms
We may change these terms. When a change matters, we email sellers before it takes effect and change the date at the top. If you keep using GateVentory after a change takes effect, you agree to the changed terms.
These terms and our Privacy Policy are the whole agreement between you and us about GateVentory. If part of them cannot be enforced, the rest still applies. If we do not enforce a term, we have not given it up. You may not hand your rights under these terms to anyone else without our agreement; we may hand ours to a company that takes over GateVentory. Nobody else has rights under these terms.
